Confidential Information:
Any non-public, proprietary, or confidential information exchanged between the parties during the course of their relationship, including but not limited to business plans, technical data, and customer information, shall be protected under this agreement.
Obligations of the Receiving Party:
The Receiving Party shall maintain the confidentiality of all Confidential Information received and shall not disclose or use it for any purpose other than the purpose defined in this Agreement, unless authorized in writing by the Disclosing Party.
Term and Duration:
This Agreement shall commence on the date signed below and shall continue for a period of two (2) years, unless terminated earlier by written notice of either party.
Governing Law & Dispute Resolution:
This Agreement shall be governed by the laws of the State of New York. Any disputes arising out of or related to this Agreement will be settled through binding arbitration in New York City.
Additional Provisions:
- Both parties agree to implement reasonable security measures to protect Confidential Information.
- The obligations of confidentiality shall survive the termination of this Agreement for a period of five (5) years.
- Any modifications to this Agreement must be in writing and signed by both parties.
