Sample General Contract for Services (US)

Parties:

Service Provider: XYZ Consulting LLC
Address: 1234 Service Lane, New York, NY 10001

Client: Acme Corporation
Address: 5678 Business Ave, New York, NY 10002

Scope of Services:

The Service Provider agrees to perform the services outlined in Schedule A attached hereto, including but not limited to consulting, project management, and deliverable submissions, in accordance with the terms specified.

Compensation:

The Client shall pay the Service Provider a fee of $10,000 payable in installments as detailed in Schedule B. Payments are due within 30 days of invoice receipt.

Service Provider Responsibilities:

The Service Provider shall perform the services diligently, in a professional manner, and in compliance with applicable laws and standards of practice.

Governing Law:

This agreement shall be governed by the laws of the State of New York. Any disputes shall be settled in the courts located in New York County.

Additional Terms:

• The parties agree to maintain confidentiality of all proprietary information exchanged.
• This contract can only be amended through a written agreement signed by both parties.
• Failure to meet payment terms may result in suspension of services until overdue amounts are settled.
